These terms govern your use of Forage and associated services provided by Squrl Labs, LLC. Please read them carefully before using the software.

By downloading, installing, accessing, or using Forage software or any services provided by Squrl Labs, LLC ("Squrl", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the software or services.
If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Subject to your compliance with these Terms and payment of any applicable fees, Squrl grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Forage solely for your internal business or personal purposes.
Your license tier (Developer, Professional, or Business) determines the number of permitted users and workspaces as described in the applicable plan documentation at the time of purchase.
You may not:
Forage is offered on a subscription basis. By starting a paid subscription, you authorize Squrl (via its payment processor) to charge your payment method on a recurring basis at the then-current subscription rate.
Billing cycle. Subscriptions are billed monthly or annually depending on the plan you select. Fees are due at the start of each billing cycle.
Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods.
Price changes. We may change subscription prices with at least 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new pricing.
Taxes. All fees are exclusive of applicable taxes, which you are responsible for paying.
We may offer a free Developer plan or trial period. At the end of any trial, you must either purchase a subscription or stop using the features covered by that trial. Squrl reserves the right to modify or discontinue trial offerings at any time.
Forage and all intellectual property rights therein (including software, trademarks, and documentation) are and remain the exclusive property of Squrl Labs, LLC. These Terms do not transfer any ownership rights to you.
Your data. You retain full ownership of your source code, knowledge graph data, annotations, and any other content you create or process using Forage. Squrl does not claim any rights to your data. As described in our Privacy Policy, Forage operates locally and does not transmit your data to our servers.
Active subscribers receive software updates as they are released during the subscription term. Support is provided via email according to the service level applicable to your plan. Squrl reserves the right to modify, discontinue, or deprecate features with reasonable notice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORAGE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SQURL DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SQURL LABS, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF FORAGE, EVEN IF SQURL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SQURL'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SQURL IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Squrl Labs, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of Forage, your violation of these Terms, or your violation of any rights of a third party.
Squrl may suspend or terminate your access to Forage at any time for material violation of these Terms, non-payment, or conduct that we reasonably determine is harmful to other users or to Squrl. Upon termination, all licenses granted herein cease immediately.
Sections 6, 8, 9, 10, 12, and 13 survive termination of these Terms.
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms shall be resolved exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction in those courts.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Squrl concerning Forage and supersede any prior agreements.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions continue in full force and effect.
Waiver. Failure by Squrl to enforce any right under these Terms does not constitute a waiver of that right.
Assignment. You may not assign or transfer these Terms without Squrl's prior written consent. Squrl may assign these Terms in connection with a merger, acquisition, or sale of assets.
Changes. We reserve the right to update these Terms at any time. Material changes will be communicated at least 14 days in advance. Continued use after the effective date constitutes acceptance.
